HOST/TALENT PARTICIPATION, PRODUCTION & REVENUE PARTICIPATION AGREEMENT

This Host/Talent Participation, Production & Revenue Participation Agreement (“Agreement”) is entered into by and between:
The McCord List, LLC, a Delaware limited liability company operating nationally within the United States and internationally for content production and distribution, with principal production operations located in Los Angeles County, California (“Company”),
and
The undersigned Host/Talent (“Host”).
This Agreement becomes legally binding upon Host’s submission of the Control Form and selection of the “I Agree to the Terms and Conditions” checkbox.
1. NATURE OF RELATIONSHIP
1.1 Revenue Participation Only
Company is a 30% minority producing partner and revenue participant in the Show, solely for purposes of contractual revenue participation.
This Agreement does NOT create:
• Equity ownership in Host’s company
• A general partnership
• A joint venture
• A fiduciary relationship
• Agency authority
• Operational control of Host’s entity
Company shall not be liable for Host’s business debts, obligations, or liabilities.
2. COST CONTRIBUTIONS
Any subscription payments, retainers, production fees, or recurring payments made by Host are acknowledged as:
• Contributions toward studio use (Los Angeles County)
• Production and post-production
• Marketing and distribution
• Operational infrastructure
Such payments:
• Are non-refundable unless agreed in writing
• Do not alter Company’s 30% producing interest
• Do not create equity
• Are deemed earned upon receipt
3. EXECUTIVE PRODUCER DESIGNATION
Rachel McCord is designated as Executive Producer of the Show and shall receive Executive Producer credit in all distributed versions of the Show, subject to platform formatting standards.
4. SHOW PROPERTY & PERPETUAL RIGHTS
4.1 Definition of Show Property
“Show Property” includes:
• Show name
• Title
• Tagline
• Branding
• Format
• Structure
• Recurring segments
• Marketing materials
• Sizzle reels
• Pitch decks
• Sales materials
• Any derivative or substantially similar adaptation
4.2 Perpetual 30% Producing Interest
Company holds a perpetual 30% producing revenue participation interest in the Show Property.
This interest survives:
• Termination
• Cancellation
• Host departure
• Sale of Host’s entity
This interest applies to:
• Advertising revenue
• Distribution revenue
• SVOD revenue
• TVOD revenue
• Licensing revenue
• Backend profits
• Format sales
• Producer fees
• Any sale price if the Show is sold or licensed
5. SVOD & TVOD SPLIT
For SVOD and TVOD:
• 70% of Net Receipts to Host
• 30% to Company
Net Receipts = gross revenue actually received minus:
• Platform fees
• Payment processor fees
• Distribution commissions
• Taxes
• Refunds
• Chargebacks
Payments issued within 30–60 days of receipt.
6. SPONSORSHIP REVENUE
• Host-sourced sponsorships: Company receives none.
• Company-sourced sponsorships: Company receives 30% of gross sponsorship revenue.
Company retains discretion in determining material involvement.
7. TITLE & FORMAT PROTECTION
Host may not:
• Continue using the Show name without honoring Company’s participation
• Use a confusingly similar name
• Rebrand to evade Company’s rights
• Create a substantially similar format derived from the Show Property
If Host develops a substantially similar show derived from the Show Property, Company’s 30% participation applies.
8. NON-CIRCUMVENTION
Host agrees not to:
• Shop the Show Property without honoring Company’s rights
• Use Company’s distribution relationships post-termination
• Structure transactions to exclude Company
This clause survives termination.
9. CONTENT RESPONSIBILITY
Host is solely responsible for:
• All content accuracy
• Statements made by Host
• Statements made by guests
• Legal compliance
Company assumes no responsibility for factual accuracy.
10. MANDATORY GUEST RELEASES
All guests must sign the official release form:

Host is solely responsible for:
• Obtaining releases prior to recording
• Maintaining signed copies
• Providing copies upon request
Company may refuse distribution absent proper releases.
Host indemnifies Company against all guest claims.
11. FULL INDEMNIFICATION
Host shall indemnify, defend, and hold harmless:
• The McCord List, LLC
• Rachel McCord
• Members, officers, contractors from claims arising from:
• Content
• Guest disputes
• IP infringement
• Defamation
• Privacy violations
• Regulatory violations
• Breach of this Agreement
Indemnification survives termination.
12. EDITORIAL CONTROL
Company retains final editorial discretion, including:
• Editing
• Removing content
• Declining distribution
• Repackaging
Host waives claims related to editorial decisions.
13. TERMINATION
Company may terminate at any time for any reason including:
• Public misconduct
• Reputational harm
• Brand misalignment
• Legal exposure
Termination does not eliminate Company’s perpetual rights or revenue participation.
14. CONTINUING USE
Even if the Show ends:
• Company retains perpetual worldwide distribution rights.
• Company retains 30% producing participation.
• Previously created content may continue to be monetized.
15. LIMITATION OF LIABILITY
Company shall not be liable for:
• Indirect damages
• Lost profits
• Reputational damages
Maximum liability capped at fees paid in prior 12 months.
16. FORCE MAJEURE
Company is not liable for delays caused by:
• Government action
• Studio closures
• Strikes
• Equipment failure
• Internet outages
• Acts of God
17. AUDIT RIGHTS
Company may audit revenue records annually upon reasonable notice.
Underpayment over 5% requires reimbursement of audit costs.
18. ASSIGNMENT
Company may assign this Agreement to affiliates or successors.
Host may not assign without written consent.
19. CONFIDENTIALITY
Host agrees not to disclose:
• Revenue splits
• Internal strategy
• Distribution negotiations
20. DISPUTE RESOLUTION
Binding arbitration in Los Angeles County, California.
Jury trial waived.
Prevailing party entitled to attorney’s fees.
21. ENTIRE AGREEMENT
This Agreement supersedes all prior discussions.
Amendments must be in writing.
ACCEPTANCE
By selecting “I Agree to the Terms and Conditions,” Host agrees to be legally bound.
